1. Introduction and Acceptance of Terms
These Terms of Use (“Terms”) govern your access to and use of the services provided by Zana Intelligence Limited (also trading as Zana Intelligence Limited) (“Zana,” “we,” “us” or “our”) via its websites, mobile applications and related tools (collectively, the “Services”). Zana offers an AI‑powered platform that helps users prepare, tailor and submit job applications by leveraging artificial intelligence. By creating an account or using the Services, you acknowledge that you have read, understood and agree to be bound by these Terms and our Privacy Policy (collectively, the “Agreement”). If you do not agree, do not use the Services.
Zana is currently incorporated in Nigeria and plans to incorporate in the United States. These Terms are governed by the laws of Nigeria for now. If our domicile changes, we will update these Terms and provide notice. A placeholder for our registered address is provided in Section 21. If these Terms are translated into other languages, the English version prevails.
2. Definitions
“Account” means the account you create to access the Services.
“User Content” means any materials you submit through the Services, including CVs, résumés, cover letters, portfolios, DEI information and communications with employers.
“Subscription Plan” means any paid tier offered by Zana, including free trials and auto‑renewing plans.
3. Eligibility
Legal Capacity: You represent and warrant that you have the legal capacity to enter into a binding contract.
Age Requirement: The Services are not intended for individuals under 16 years of age. Zana does not intentionally collect age data but reserves the right to refuse or terminate accounts if we discover that the user is under 16.
Sanctioned Countries: You may not use the Services if you are located in, under the control of, or a national or resident of any country subject to United Nations, United States, United Kingdom, European Union or Nigerian embargoes or sanctions. You agree to comply with all applicable export control and sanction laws.
4. Services
4.1 Description
Zana’s Services enable users to: Onboard with personal information such as name, email, phone number, nationality, job preferences, CV, portfolio and diversity, equity and inclusion (DEI) information; leverage artificial intelligence to tailor CVs and cover letters based on job descriptions and industry best practices; automatically submit job applications on behalf of users without manual review, including to job boards, employers and recruiters; manage correspondence through a custom mailbox that centralises communications with employers and recruiters. Zana provides technological tools only. We do not guarantee that you will receive a job offer or any particular outcome by using our Services.
4.2 Beta Features: From time to time we may offer beta or experimental features. Beta features may contain bugs or errors and are offered “as is.” Your use of beta features is at your own risk, and we may modify or discontinue them at any time.
5. Account Registration and Security
You must create an Account to access most Services. When you register, you must provide accurate and complete information and keep your details up to date. You are responsible for all activity that occurs under your Account. You must keep your login credentials confidential and immediately notify us of any unauthorised use. Zana is not liable for any loss or damage arising from your failure to secure your Account.
6. Plans, Payments and Refunds
Free Applications: Each user is entitled to three (3) free automatic job applications.
Paid Plans: After the free applications, use of our automatic application service may require enrolling in a paid Subscription Plan. Subscription fees and features are described on our website and may be updated from time to time. Unless stated otherwise, subscriptions automatically renew for successive periods of the same length as the initial term. You may cancel auto‑renewal at any time through your Account settings or by contacting us; cancellation will be effective at the end of the current billing period.
Payment Methods: Payments are processed through third‑party providers (Paystack, Stripe and PayPal). You authorise us to charge your selected payment method for all fees. If payment fails or is overdue, we may suspend or terminate your access to the Services until the outstanding amount is paid. You are responsible for all bank fees, charges and taxes associated with your purchase.
Refunds: Except as required by law, all purchases are final. Refunds, if any, will be issued as Zana platform credits that may be used toward future services. Credits expire three (3) months from issuance, are non‑transferable and cannot be exchanged for cash.
Taxes: Prices listed may exclude taxes or duties. You are responsible for any taxes arising from your purchase.
7. User Responsibilities
By using the Services, you agree to: Provide Accurate Information (ensure that all personal and professional information you submit, including CVs and cover letters, is accurate, current and truthful); Comply with Laws and Third‑Party Terms (use the Services in compliance with all applicable laws and regulations; comply with the terms of any third‑party websites or platforms accessed through the Services); Do Not Mislead or Commit Fraud; No Spam or Bulk Applications; No Interference with Security; Respect Others; Keep Credentials Confidential.
8. Prohibited Uses
You may not: Use any robot, crawler or other automated means to harvest or scrape data from the Services or from other users; engage in any unlawful, fraudulent, deceptive or harmful activity; upload, distribute or transmit any viruses, malware or other malicious code; use the Services in a manner that interferes with or disrupts other users or networks; copy, modify, distribute, sell, lease, loan or reverse engineer any part of the Services; access or use the Services for the purpose of monitoring availability, performance or functionality or for any competitive or benchmarking purposes; violate or infringe any intellectual property, privacy or other rights of Zana or third parties.
9. Intellectual Property
9.1 Ownership: All intellectual property rights in the Services, including software, algorithms, interfaces, designs, trademarks, service marks, logos and other content provided by Zana (“Zana Content”), are owned by Zana or its licensors. Except for the limited license granted herein, nothing in these Terms conveys to you any right or interest in Zana Content.
9.2 User Content: You retain ownership of User Content you submit. By uploading or submitting User Content, you grant Zana a worldwide, non‑exclusive, royalty‑free, sublicensable licence to use, host, reproduce, modify (including through AI models), adapt, communicate and otherwise process your User Content solely for the purpose of providing and improving the Services. You represent and warrant that you have all rights necessary to grant this licence and that your User Content does not infringe any third‑party rights.
9.3 AI‑Modified Content: When our AI tailors or modifies your CV or cover letters, you own the resulting content. However, you grant Zana the right to store, process and use the AI‑modified content for providing the Services, generating future AI outputs and complying with our legal obligations.
9.4 Feedback: If you provide suggestions, comments or feedback about the Services (“Feedback”), you agree that Zana is free to use such Feedback without restriction or compensation.
10. Third‑Party Content and Links
Our Services may contain links to third‑party websites or resources (e.g., job boards, employer portals, LinkedIn). Zana does not control and is not responsible for the content, products or services available through third‑party sites. Your dealings with third parties are solely between you and the third party. We do not endorse or assume liability for any third‑party services.
11. AI Processing and Automatic Submission
Zana uses artificial intelligence to tailor CVs and cover letters and to submit job applications automatically. AI outputs may contain inaccuracies or errors. You are solely responsible for reviewing and verifying the accuracy of information you provide and the AI‑generated content. By using the Services, you authorise Zana to submit applications on your behalf without manual review. Zana does not guarantee that the AI will produce a correct or effective application. We are not liable for any missed job opportunities, failed applications or other consequences of relying on AI outputs.
12. Indemnification
You agree to defend, indemnify and hold harmless Zana, its affiliates, officers, directors, employees, agents and licensors from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or relating to: your use of the Services; your User Content (including AI‑modified content); your breach of these Terms; your violation of any applicable law or third‑party rights; and any misrepresentations or fraudulent actions by you. Zana reserves the right to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate with such defence.
13. Disclaimer of Warranties
THE SERVICES AND ALL INFORMATION, CONTENT AND MATERIALS PROVIDED BY ZANA ARE OFFERED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR‑FREE OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZANA AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OPPORTUNITIES OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNTS PAID BY YOU TO ZANA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR, IF YOU HAVE NOT PAID ANY AMOUNTS, ONE HUNDRED U.S. DOLLARS (US$100). THE LIMITATIONS OF THIS SECTION SHALL APPLY TO ALL CLAIMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER LEGAL THEORY, REGARDLESS OF WHETHER ANY REMEDY FAILS ITS ESSENTIAL PURPOSE.
15. Service Availability and Downtime
Zana strives to maintain the Services’ availability but does not guarantee continuous or uninterrupted operation. The Services may become unavailable from time to time for maintenance, upgrades, emergency repairs or due to circumstances beyond our control. We will make reasonable efforts to inform you of planned outages. Zana is not liable for any losses or damages resulting from unavailability or performance issues.
16. Force Majeure
Zana shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, labour disputes, government actions, internet or telecommunications outages, or acts of third parties (“Force Majeure Events”). If a Force Majeure Event continues for more than thirty (30) days, either party may terminate these Terms upon written notice.
17. Dispute Resolution
17.1 Informal Resolution: Before initiating formal proceedings, you agree to contact Zana at the address provided in Section 21 to attempt to resolve any dispute informally.
17.2 Arbitration: Any dispute arising out of or relating to these Terms or the Services that is not resolved informally shall be finally settled by binding arbitration in Lagos, Nigeria under the rules of a recognised Nigerian arbitration body. You and Zana agree to waive any right to a jury trial or to participate in a class action. The arbitrator’s decision will be final and binding, and judgement on the award may be entered in any court having jurisdiction.
17.3 Court Proceedings: If the arbitration clause is found to be unenforceable, or if a dispute is not subject to arbitration, the dispute will be submitted to the courts of Nigeria, unless prohibited by law. Nothing in this section limits your right to file a complaint with a data protection authority or other regulatory body.
18. Termination
18.1 By You: You may stop using the Services at any time and may delete your Account through your Account settings. These Terms will continue to apply until you or Zana terminates them.
18.2 By Zana: Zana may terminate or suspend your Account and access to the Services at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or for any other reason at our discretion. Upon termination, your right to use the Services will cease immediately.
18.3 Effect of Termination: If your Account is terminated, your licence to use the Services ends. Sections relating to intellectual property, indemnification, disclaimer, limitation of liability, dispute resolution, and any other provisions that by their nature should survive termination will survive.
19. Changes to the Terms
We may update or modify these Terms at any time. If we make material changes, we will provide notice (e.g., by email or through the Services) and update the “Last Updated” date. Unless otherwise specified, updated Terms will be effective on the date posted. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services.
20. Governing Law and Jurisdiction
These Terms and any dispute arising out of or relating to them are governed by the laws of Nigeria, without regard to its conflict of law principles. Notwithstanding the foregoing, Zana may bring suit for injunctive relief in any court having jurisdiction to protect its intellectual property rights. If Zana incorporates or otherwise becomes subject to another jurisdiction, we may update the governing law provisions and will provide notice accordingly.
21. Miscellaneous
Entire Agreement: These Terms, together with the Privacy Policy and any additional policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Zana regarding your use of the Services and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations without restriction.
Notices: Zana may deliver notices via email, posting on the Services or any other method we reasonably choose. You may provide legal notices to us by mailing a written notice to the address below.
