Zana is currently incorporated in Nigeria and operates globally. These Terms are governed by the laws of Nigeria. If our domicile changes, we will update these Terms and provide notice. If these Terms are translated into other languages, the English version prevails.

4.3 Beta Features

We may offer beta or experimental features from time to time. Beta features may contain bugs or errors and are offered "as is." Your use of beta features is at your own risk, and we may modify or discontinue them at any time without notice.

5. Licence to Use the Services

Subject to your compliance with these Terms, Zana grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal or internal business purposes. This licence does not include the right to: sublicence, resell or commercially redistribute the Services; modify, adapt or create derivative works of the Services (except for Generated Content, which you own per Section 10.3); or access the Services for competitive analysis or benchmarking.

Zana grants you a limited, non-exclusive, non-transferable licence to use Prospect Data obtained through the Services solely for lawful professional outreach facilitated through the platform. This licence terminates upon termination of your Account. You may not extract, re-sell, redistribute or use Prospect Data for any purpose outside the Services.

6. Account Registration and Security

You must create an Account to access most Services. When you register, you must provide accurate and complete information and keep your details up to date. You are responsible for all activity under your Account. You must keep your login credentials confidential and notify us immediately of any unauthorised use. Zana is not liable for loss or damage arising from your failure to secure your Account.

7. Plans, Payments and Refunds

Free and Paid Tiers: Zana offers both free and paid Subscription Plans. Features available on each plan are described on our website and may be updated from time to time.

Automatic Renewal: Unless stated otherwise, paid subscriptions automatically renew for successive periods of the same length as the initial term. You may cancel auto-renewal at any time through your Account settings or by contacting us; cancellation takes effect at the end of the current billing period.

Payment Methods: Payments are processed through Paystack, Stripe and PayPal. You authorise us to charge your selected payment method for all applicable fees. If payment fails or is overdue, we may suspend or terminate your access until the outstanding amount is paid. You are responsible for all bank fees, charges and taxes associated with your purchase.

7.1 Cooling-Off Period (UK and EU Consumers)

If you are a consumer resident in the United Kingdom or European Economic Area, you have the right to cancel your Subscription Plan within 14 days of purchase without giving any reason and receive a full refund. To exercise this right, you must notify us by email at legal@tryzana.com or through your Account settings before the 14-day period expires.

If you request that the Services begin during the cooling-off period (for example, by immediately using paid features after subscribing), you acknowledge that: (a) you expressly consent to the Services beginning before the end of the 14-day period; and (b) if you then cancel during the cooling-off period, you will receive a refund less a proportionate amount for the Services already provided up to the point of cancellation.

If you did not request that the Services begin during the cooling-off period, you will receive a full refund upon cancellation within 14 days.

7.2 General Refund Policy

Refunds: Outside of the UK/EU cooling-off period described above, and except as otherwise required by applicable consumer protection law in your jurisdiction, all purchases are final. Discretionary refunds, if any, will be issued as Zana platform credits that may be used toward future services. Credits expire thirty (30) days from issuance, are non-transferable and cannot be exchanged for cash.

Taxes: Prices listed may exclude taxes or duties. You are responsible for any taxes arising from your purchase.

8. User Responsibilities

8.1 General Responsibilities

By using the Services, you agree to:

  • Provide accurate, current and truthful information in all materials you submit, including CVs, professional biographies, outreach content and application materials;

8.2 Outreach-Specific Responsibilities

When using Zana's outreach and prospecting features, you additionally agree to:

  • Comply with all applicable anti-spam and electronic communications laws in every jurisdiction where your Prospects are located, including the CAN-SPAM Act (US), PECR (UK), the ePrivacy Directive (EU), CASL (Canada), the NDPA (Nigeria) and any other applicable laws;
  • Not use the Services to send deceptive, misleading, harassing, threatening or unlawful communications;
  • Not misrepresent your identity or the purpose of your outreach;

  • Honour all opt-out and unsubscribe requests promptly;
  • Not exceed any sending volume limits or frequency controls imposed by Zana;
  • Accept that you are the "sender" of outreach communications for the purposes of anti-spam law and bear primary responsibility for compliance.

Zana provides compliance tools (including unsubscribe mechanisms, jurisdiction screening and volume controls) but does not guarantee that your outreach complies with applicable law. Compliance is ultimately your responsibility.

8.3 Data Protection Responsibilities

Where you use the Services to process personal data about Prospects or other third parties, you acknowledge that:

  • You may be a data controller (or joint controller with Zana) under applicable data protection law with respect to Prospect Data;
  • You are independently responsible for ensuring that your use of Prospect Data complies with applicable data protection law, including having a valid lawful basis for processing;
  • Where you and Zana are joint controllers, your respective responsibilities are set out in the Joint Controller Arrangement annexed to these Terms, the essence of which is available to data subjects on request;
  • You will cooperate with Zana in responding to data subject rights requests from Prospects;
  • You will not use Prospect Data for any purpose other than lawful professional outreach as facilitated by the Services.

9. Prohibited Uses

You may not:

  • Use any robot, crawler or automated means to harvest or scrape data from the Services or from other users;
  • Engage in any unlawful, fraudulent, deceptive or harmful activity;
  • Upload, distribute or transmit viruses, malware or other malicious code;
  • Interfere with or disrupt other users or the operation of the Services;
  • Copy, modify, distribute, sell, lease, loan or reverse-engineer any part of the Services;
  • Access or use the Services for competitive analysis, benchmarking or monitoring purposes;
  • Violate or infringe intellectual property, privacy or other rights of Zana or third parties;
  • Use the Services to send bulk unsolicited communications that violate applicable law;
  • Use the Services to stalk, harass, threaten or intimidate any person;
  • Attempt to circumvent any rate limits, sending caps, compliance controls or other safeguards built into the Services;
  • Use the Services to process personal data of children under 16 (or under 13 where COPPA applies);
  • Resell, sublicence or commercially redistribute the Services or Generated Content without Zana's prior written consent.

10. Intellectual Property

10.1 Zana's Ownership

All intellectual property rights in the Services, including software, algorithms, models, interfaces, designs, trademarks, service marks, logos and content provided by Zana ("Zana Content"), are owned by Zana or its licensors. Except for the limited licence granted in these Terms, nothing conveys to you any right or interest in Zana Content.

10.2 User Content

You retain ownership of User Content you submit. By uploading or submitting User Content, you grant Zana a worldwide, non-exclusive, royalty-free, sublicensable licence to use, host, reproduce, modify (including through AI processing), adapt, communicate and otherwise process your User Content solely for the purpose of providing and improving the Services. You represent and warrant that you have all rights necessary to grant this licence and that your User Content does not infringe any third-party rights.

10.3 Generated Content

You own the Generated Content that Zana's AI creates or modifies on your behalf (such as tailored CVs, cover letters, pitch emails and application kits). However, you grant Zana the right to store, process and use Generated Content for the purpose of providing the Services, improving AI quality and complying with legal obligations. Zana does not claim ownership of Generated Content.

10.4 Prospect Data and Research

AI-generated research, insights and outreach content about Prospects are Generated Content owned by you. However, the underlying data sources (publicly available information, third-party databases) and Zana's proprietary methods for processing that data remain the property of Zana or the relevant third parties. You may not extract, re-sell or redistribute Prospect data obtained through the Services for any purpose other than the outreach facilitated by the platform.

10.5 Feedback

If you provide suggestions, comments or feedback about the Services ("Feedback"), you agree that Zana may use such Feedback without restriction or compensation.

11. Third-Party Content and Services

The Services may integrate with or link to third-party websites, platforms and services (including job boards, employer portals, email providers, social networks, payment processors and data providers). Zana does not control and is not responsible for the content, products, services, terms or privacy practices of third parties. Your use of third-party services is governed by their respective terms. We do not endorse or assume liability for any third-party services.

When Zana submits applications or sends outreach on your behalf to third-party platforms, those platforms' own terms and privacy policies govern their handling of your data after submission.

12. AI Processing, Automated Submissions and Outreach

12.1 AI-Powered Features

Zana uses artificial intelligence across the Services, including to:

  • Analyse and optimise your CV and professional profile;
  • Generate tailored application materials and outreach content;
  • Recommend opportunities based on your profile and preferences;
  • Identify and research Prospects for outreach campaigns;
  • Provide career coaching and professional guidance;
  • Detect application outcomes from connected email accounts;
  • Generate performance analytics and career insights.

12.2 AI Limitations

AI outputs may contain inaccuracies, errors or content that does not reflect your intentions. You are solely responsible for reviewing, verifying and approving all Generated Content before it is used, submitted or sent. Zana does not guarantee that AI-generated content will be accurate, effective, free from bias or suitable for any particular purpose.

12.3 Automated Application Submission

Where you enable automated application submission, Zana will identify matching opportunities and submit applications on your behalf using AI-generated materials and your stored professional documents. You acknowledge and agree that:

  • Applications are submitted within the parameters you configure (including targeting criteria, volume limits and exclusions);
  • You can pause, resume or override automated submissions at any time;
  • You are responsible for the accuracy and completeness of all information submitted on your behalf;
  • Zana is not liable for missed opportunities, failed applications or any consequences of automated submissions.

12.4 Outreach and Prospecting

Where you use Zana's outreach features, Zana will identify, research and contact Prospects on your behalf. You acknowledge and agree that:

  • Outreach is sent from your connected email account (not from Zana's domain);
  • You are the sender of all outreach communications for legal purposes;
  • You are responsible for ensuring each outreach campaign complies with applicable anti-spam and data protection laws (see Section 8.2 and 8.3);
  • Zana may restrict or suspend outreach campaigns that pose reputational or legal risk to the platform;
  • Zana is not liable for any consequences of outreach communications, including recipient complaints, regulatory action or reputational harm.

12.5 Email Account Integration

Where you connect an email account (such as Gmail) to the Services:

  • You authorise Zana to send outreach emails on your behalf through your connected account;
  • Where you enable application outcome detection, you authorise Zana to access incoming emails solely to identify application-related messages (such as interview invitations, rejections and offers). Zana does not access, read or store personal, social or commercial emails unrelated to applications or outreach;
  • You may revoke email access at any time by disconnecting the account in Settings or via your email provider's permissions. Access tokens are deleted immediately upon disconnection;
  • Zana's use of Google API data complies with the Google API Services User Data Policy, including Limited Use requirements.

13. Data Processing and Privacy

Your personal data is processed in accordance with our Privacy Policy (tryzana.com/privacy). By using the Services, you acknowledge and accept the practices described in the Privacy Policy.

Joint Controller Arrangement: Where you and Zana jointly determine the purposes and means of processing Prospect Data, you are joint controllers under applicable data protection law. A Joint Controller Arrangement is annexed to these Terms and sets out each party's responsibilities for compliance with data subject rights, transparency obligations and lawful basis requirements. The essence of this arrangement is available to data subjects on request.

Data Processing Agreement: Where Zana processes personal data on your behalf as a processor, the terms of our Data Processing Agreement (available at tryzana.com/dpa or on request) apply.

Sub-processors: A list of Zana's current sub-processors is available at tryzana.com/sub-processors. We provide at least 30 days' notice before adding or replacing a sub-processor.

14. Indemnification

You agree to defend, indemnify and hold harmless Zana, its affiliates, officers, directors, employees, agents and licensors from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Services;
  • Your User Content and Generated Content (including content you approved and sent);
  • Your breach of these Terms;
  • Your violation of any applicable law or third-party rights;
  • Any outreach communications sent through the Services on your behalf, including any claims by Prospects, recipients, regulators or third parties relating to such communications;
  • Any data protection claims arising from your processing of Prospect Data where you act as a controller or joint controller;
  • Any misrepresentations or fraudulent actions by you.

Zana reserves the right to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate with such defence.

If you are a consumer, this indemnification obligation applies only to the extent permitted by applicable consumer protection law in your jurisdiction. Nothing in this section creates obligations on consumers beyond what is required by mandatory applicable law.

15. Disclaimer of Warranties

THE SERVICES AND ALL INFORMATION, CONTENT AND MATERIALS PROVIDED BY ZANA ARE OFFERED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE OR FREE FROM VIRUSES; ANY DEFECTS WILL BE CORRECTED; AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, EFFECTIVE OR FIT FOR YOUR PURPOSE; AUTOMATED APPLICATIONS OR OUTREACH WILL ACHIEVE ANY PARTICULAR RESULT; PROSPECT DATA WILL BE ACCURATE OR CURRENT; OR THAT THE SERVICES WILL COMPLY WITH THE LAWS OF ANY PARTICULAR JURISDICTION.

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING ALL GENERATED CONTENT AND FOR ENSURING THAT YOUR USE OF THE SERVICES COMPLIES WITH APPLICABLE LAW.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZANA AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OPPORTUNITIES, REPUTATION OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM:

  • Inaccuracies, errors or omissions in AI-generated content;
  • Failed, rejected or missed applications;
  • Outreach communications that result in recipient complaints, regulatory action or reputational harm;
  • Loss of or unauthorised access to your Account or data;
  • Actions taken by third-party platforms, employers, recruiters, investors or other recipients;
  • Interruptions, downtime or technical failures of the Services.

IN NO EVENT SHALL ZANA'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO ZANA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (US $100).

THESE LIMITATIONS APPLY TO ALL CLAIMS WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER LEGAL THEORY, REGARDLESS OF WHETHER ANY REMEDY FAILS ITS ESSENTIAL PURPOSE.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW.

17. Service Availability and Downtime

Zana strives to maintain the Services' availability but does not guarantee continuous or uninterrupted operation. The Services may become unavailable from time to time for maintenance, upgrades, emergency repairs or due to circumstances beyond our control. We will make reasonable efforts to inform you of planned outages. Zana is not liable for any losses or damages resulting from unavailability or performance issues.

18. Force Majeure

Zana shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, government actions, internet or telecommunications outages, pandemic, epidemic or acts of third parties ("Force Majeure Events"). If a Force Majeure Event continues for more than thirty (30) days, either party may terminate these Terms upon written notice.

19. Dispute Resolution

19.1 Informal Resolution

Before initiating formal proceedings, you agree to contact Zana at the address in Section 24 to attempt to resolve any dispute informally within 30 days.

19.2 Arbitration

Any dispute arising out of or relating to these Terms or the Services that is not resolved informally shall be finally settled by binding arbitration in Lagos, Nigeria under the Arbitration and Mediation Act 2023. To the extent permitted by applicable law, you and Zana agree to waive any right to a jury trial or to participate in a class action. The class action waiver applies only where permitted by law. The arbitrator's decision will be final and binding, and judgement on the award may be entered in any court having jurisdiction.

19.3 Court Proceedings

If the arbitration clause is found unenforceable, or if a dispute is not subject to arbitration, the dispute will be submitted to the courts of Nigeria, unless prohibited by law. This arbitration clause does not apply to the extent prohibited by mandatory consumer protection law in your jurisdiction, including the UK Consumer Rights Act 2015 and the EU Unfair Contract Terms Directive. If you are a consumer, you are not required to submit to arbitration and may bring proceedings in the courts of your habitual residence.

19.4 Regulatory Complaints

Nothing in this section limits your right to file a complaint with a data protection authority, consumer protection authority or other regulatory body.

20. Termination

20.1 By You

You may stop using the Services at any time and may delete your Account through your Account settings. Cancellation of a paid subscription takes effect at the end of the current billing period.

20.2 By Zana

Zana may suspend or terminate your Account if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or used the Services in a manner that creates material legal or reputational risk for Zana. Where practicable, we will provide notice and a reasonable opportunity to cure the breach before termination, except where immediate action is required to prevent harm. If Zana wishes to terminate your Account for reasons other than your breach, we will provide at least 30 days' notice.

20.3 Refunds on Termination

If Zana terminates your Account due to your breach of these Terms, no refund is due. If Zana terminates your Account for reasons other than your breach, or if termination results from Zana's error, Zana will provide a pro-rata refund of any prepaid subscription fees for the unused portion of the current billing period.

20.4 Effect of Termination

Upon termination: your licence to use the Services ends immediately; any pending outreach campaigns or automated submissions will be cancelled; your data will be retained and deleted in accordance with our Privacy Policy (Section 11). Sections relating to intellectual property, indemnification, disclaimers, limitation of liability, dispute resolution and any other provisions that by their nature should survive termination will survive.

20.5 Data Export

Before deleting your Account, you may request an export of your data by contacting privacy@tryzana.com. We will provide your data in a commonly used, machine-readable format (such as JSON or CSV) within 30 days.

21. Acceptable Use Policy for Outreach

The following rules apply specifically to the use of Zana's outreach, prospecting and automated communication features. Violation of this policy may result in immediate suspension or termination of your Account.

  • Volume limits: you must comply with all sending volume limits and frequency caps imposed by Zana. Attempts to circumvent these limits are prohibited.
  • Recipient respect: you must not contact individuals who have opted out of receiving communications from you or from the Zana platform.
  • Content standards: outreach content must be truthful, professional and not misleading. You must accurately represent your identity, qualifications and the purpose of your communication.
  • Legal compliance: you are solely responsible for ensuring that each outreach communication complies with the anti-spam, data protection and electronic communications laws applicable in the recipient's jurisdiction.
  • Abuse monitoring: Zana monitors outreach activity for abuse signals (including excessive volume, high bounce rates, spam complaints and negative recipient feedback). We may suspend or terminate campaigns, or restrict your account, where abuse is detected.
  • Reputational protection: Zana reserves the right to restrict or suspend outreach features where continued use would, in our reasonable judgement, damage the reputation, deliverability or legal standing of the platform.

22. Changes to These Terms

We may update or modify these Terms at any time. For material changes, we will provide at least 30 days' notice (by email or through the Services) and update the "Last Updated" date. Unless otherwise specified, updated Terms take effect on the date posted. Your continued use of the Services after the effective date constitutes acceptance. If you do not agree, you must stop using the Services.

23. Governing Law

These Terms and any dispute arising out of or relating to them are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. If you are a consumer resident in the United Kingdom or European Economic Area, you will also benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these Terms affects your rights as a consumer under applicable mandatory law. Zana may bring suit for injunctive relief in any court having jurisdiction to protect its intellectual property rights. If Zana incorporates or becomes subject to another jurisdiction, we may update the governing law provisions and will provide notice.

24. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy, Data Processing Agreement, Joint Controller Arrangement and any additional policies expressly incorporated by reference, constitute the entire agreement between you and Zana regarding the Services and supersede all prior agreements.

Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.

Waiver: Our failure to enforce any right or provision will not be deemed a waiver.

Assignment: You may not assign or transfer your rights or obligations without our prior written consent. We may assign ours without restriction.
